Terms of Service and Enterprise License
Regulatory Update: April 30, 2026
1. Nature of Service and Regulatory Framework
Nirium is exclusively a technology infrastructure software (IaaS) designed under the 'Novel Models' standards in accordance with Article 80 of the Law to Regulate Financial Technology Institutions (Mexico). Nirium operates strictly as a B2B software provider facilitating treasury flow orchestration and NOT as a Financial Technology Institution (ITF), IFPE, or banking entity. The platform provides immutable forensic telemetry and Soroban security protocols for experimentation with digital infrastructure. Custody, settlement, and issuance services for CETES (RWA) are the exclusive responsibility of regulated third-party providers (Etherfuse/Indeval) under their own licenses and terms of service.
2. No Guarantees — Service Level Agreement (SLA)
Nirium does not guarantee financial returns of any kind nor assumes responsibility for secondary market liquidity. Routing projections and spread metrics are strictly informational and reflect historical algorithmic execution on Stellar Testnet. Nirium is not an investment product, security, or mutual fund. Capital remains under the sovereign control of the regulated operator's corporate keys at all times. Nirium is an automation SDK with which institutions interact assuming the technological risk.
3. Autonomous Node & Oracle Liability
By activating infrastructure nodes or approval logic, the institution grants a technical mandate for the code to propose transactions based on pre-configured corporate thresholds. The operator acknowledges that automated systems, price oracles, and external APIs may exhibit critical latency, service outages, or corrupt data. Nirium acts as a middleware layer and assumes no liability for losses derived from systemic failures in the underlying settlement rails or the public Stellar network.
4. Sovereign Asset (CETES) Risks
Operations with CETES are subject to institutional availability, banking window constraints, and Banxico regulations. Nirium acts solely as a technological bridge (Middleware). Counterparty risk, legal custody of the underlying asset, and AML compliance rest entirely with the bond issuer, the final custodian, and the regulated operator. Tokenization of these assets on Stellar Testnet is a technological proof of concept.
5. Jurisdiction and Technological Arbitration
Any controversy related to software licensing shall be resolved through binding arbitration under the rules of the Mexico City Chamber of Commerce. By provisioning a corporate environment, the institution expressly waives class-action lawsuits. These terms are governed by the federal laws of the United Mexican States.
6. Infrastructure Availability (SaaS)
Nirium provides software services on an 'as is' basis. As final execution depends on the Stellar network and third-party APIs (e.g., Etherfuse), Nirium does not guarantee a 100% availability SLA. The platform implements cryptographic security protocols, but is not liable for losses resulting from blockchain congestion, network forks, or outages of third-party cloud services (AWS/GCP).
7. B2B Compliance and Institutional Solicitation
Nirium does not make a public offering of securities, payment intermediation, or retail financial services. Access to the infrastructure by foreign corporations is considered a private B2B request ('Reverse Solicitation'). The integrating institution is solely responsible for complying with financial and Anti-Money Laundering (AML) laws in its jurisdiction of operation.
8. SDK Intellectual Property
All Soroban smart contracts, routing logic, REST endpoints, and proprietary visualizations of the Treasury Builder are the exclusive intellectual property of Nirium. Provisioning grants a limited, non-exclusive, and revocable B2B software license.
9. Alignment with Stellar Code of Conduct and SCF 7.0
Nirium strictly adheres to the principles of the Stellar Development Foundation (SDF) and the institutional standards of the Stellar Community Fund (SCF) version 7.0 (Updated April 30, 2026), promoting open infrastructure, corporate respect, and forensic traceability.
