Terms of Service and Enterprise License

1. Nature of Service and Regulatory Framework
Nirium is a technology infrastructure platform (IaaS) designed under the 'Novel Models' standards in accordance with Article 80 of the Law to Regulate Financial Technology Institutions (Mexico). Nirium operates strictly as a software provider facilitating treasury automation and not as a Financial Technology Institution (ITF) or banking entity. The platform provides an immutable forensic audit trail (Protocol Archive) and Soroban security protocols for experimentation with digital assets in controlled environments. Custody, settlement, and issuance services for Global Bonds (RWA) are the exclusive responsibility of regulated third-party providers (Etherfuse/Indeval) under their own licenses and terms.
2. No Guarantees — Not an Investment Product
Nirium does not guarantee returns of any kind. The ELO reputation system is strictly informational and reflects historical algorithmic performance on Stellar Testnet — it does not constitute a promise of future gain. Nirium is not an investment product, security, fund, or financial instrument. Capital remains under the sovereign control of the user's private keys at all times. Nirium is a technology infrastructure protocol that users interact with at their own risk.
3. Autonomous Agent & AI Liability
By activating the agent 'Fleet' or 'Loop', the user grants a limited technical mandate for the code (LLM/Agent) to build and propose transactions based on pre-configured parameters. The user acknowledges that Large Language Models (OpenAI, Anthropic, Ollama) may exhibit 'algorithmic hallucinations', data biases, or critical latency. Nirium acts as a transmission interface and assumes no responsibility for autonomous decisions made by the AI kernel or for systemic failures in decentralized price oracles or the public Stellar network.
4. Real World Asset (RWA) Risks
Operations with Global Bonds and other real-world assets (RWA) are subject to availability, banking window constraints, and regulations of the Mexican financial system. Nirium acts solely as a technological bridge (Middleware). Counterparty risk, underlying asset custody, and liquidity rest entirely with the bond issuer and the final custodian (Indeval). Tokenization of these assets on Stellar Testnet is representative and experimental.
5. Jurisdiction and Cryptographic Arbitration
Any controversy shall be resolved through binding arbitration under the rules of the Mexico City Chamber of Commerce. By connecting your wallet, the user expressly waives class-action lawsuits. These terms are governed by the federal laws of the United Mexican States.
6. Infrastructure and Availability (SaaS/IaaS)
Nirium provides infrastructure services on an 'as is' basis under the Software-as-a-Service (SaaS) model. As final execution depends on the public Stellar network, third-party LLM providers, and data oracles, Nirium does not guarantee 100% availability. The platform implements security protocols inspired by ISO 27001 for the data layer, but is not liable for losses resulting from blockchain congestion, network forks, or outages of third-party cloud services.
7. Reverse Solicitation and International Compliance
Nirium does not make a public offering of securities or financial services in jurisdictions where it is not registered. User access from restricted jurisdictions is considered a proactive, private, and individual request ('Reverse Solicitation'). The user declares they have not been induced by targeted marketing and is solely responsible for complying with the laws of their country of residence.
8. Algorithmic Intellectual Property
All algorithms, agent logic ('Fleet'), network architectures, and proprietary visualizations are the exclusive intellectual property of Nirium. Use of the platform grants a limited, non-exclusive, and revocable license. Use of the interface does not grant ownership, modification, or reverse engineering rights to the core artificial intelligence engine.
9. Alignment with Stellar Code of Conduct and SCF 7.0
Nirium strictly adheres to the principles of the Stellar Development Foundation (SDF) and the Stellar Community Fund (SCF) version 7.0 guidelines (Updated April 30, 2026), promoting an ecosystem of open innovation, mutual respect, and technical transparency. Users, node operators, and developers commit to interacting under professional standards, following the official Stellar Code of Conduct and prohibiting any malicious behavior that compromises the integrity of the network.
